WebCal Cloud Storage License and Terms of Service

To use WebCal storage products and services (hereinafter collectively referred to as “the Service”), you must read and comply with the “WebCal Cloud Storage License and Service Agreement” (hereinafter referred to as “this Agreement”), as well as the “WebCal Service Agreement”.Please be sure to carefully read and fully understand the content of each provision, particularly those that exempt or limit WebCal’s liability, those that restrict user rights, and those that specify dispute resolution methods and jurisdictional provisions (such as the relevant provisions in Article 15), as well as any separate agreements for activating or using a specific service.Restrictions, disclaimers, or other provisions that significantly affect your rights and interests may be highlighted in bold, underlined, or other formats to draw your special attention.

Unless you have thoroughly read, fully understood, and accepted all terms of this Agreement, you are not authorized to download, install, or use this Service and/or related services.By clicking “Agree” or “Next,” or by downloading, installing, using, logging in, or otherwise expressly or implicitly indicating your acceptance of this Agreement, you are deemed to have read and agreed to be bound by this Agreement. This Agreement shall take legal effect between you and WebCal and shall constitute a legally binding document for both parties.

If you lack full legal capacity due to age, intellectual disability, or other factors, please read this Agreement in the presence of your legal guardian (hereinafter referred to as the “Guardian”) and determine whether to accept it.

If you are a user outside of mainland China, your entry into or performance of this Agreement and your use of the Service must also comply with the laws of the country or region to which you belong and/or in which you are located.

I. Scope of the Agreement

1.1 This Agreement constitutes the agreement between you and WebCal regarding your scaling up, scaling down, and use of the Service, as well as your use of the Service.

1.2 The content of this Agreement includes, but is not limited to, the following agreements, rules, and specifications pertaining to the Service and/or related to the Service, as well as any other agreements, rules, and specifications regarding the Service and/or related to the Service that WebCal may publish from time to time.Once formally published, such content shall constitute an integral part of this Agreement, forming a unified whole with it, and you are likewise required to comply with it.

II. About This Service and This Service

2.1 “This Service” refers to the WebCal cloud storage software developed by WebCal and authorized for users to log in to and use in accordance with the terms of this Agreement and other WebCal agreements and rules.

2.2 You may use this service via client applications on devices such as computers and mobile phones; specific details are subject to what WebCal provides.WebCal will continue to expand the range of devices and formats through which you can use this service. When using this service, you should select the version that is compatible with your device and operating system; otherwise, you may not be able to use the service properly.

2.3 WebCal grants you a personal, non-transferable, and non-exclusive license to use the Service in accordance with the scope and manner specified in this Agreement and other WebCal agreements and rules.

2.3.1 You may download, install, use, and log in to this service on a single terminal device for non-commercial purposes.

2.3.2 You may create a copy of this service solely for backup purposes. The backup copy must include all copyright notices contained in the original software.

2.3.3 All rights not expressly granted in this section or elsewhere in this Agreement remain reserved by WebCal, and you must obtain WebCal’s separate written permission to exercise such rights. WebCal’s failure to exercise any of the foregoing rights shall not constitute a waiver of such rights.

2.4 You understand and agree that, in order to provide you with effective services, this service will utilize resources such as the processor and bandwidth of your device. Data usage charges may apply while using this service; you are responsible for obtaining relevant pricing information from your service provider and for bearing the associated costs.

2.5 You acknowledge and agree that the software provides different levels of free cloud storage space to users of different tiers who have activated other WebCal-related services; please refer to the relevant rules published by WebCal for details.

2.6 WebCal provides free service with a certain amount of storage capacity to non-paying users. Users may purchase additional storage capacity and other products; changes to capacity will take effect immediately after purchase or downgrade. If you enable auto-renewal, you are responsible for ensuring your account has sufficient funds and for paying all fees on time.If we are unable to successfully collect the fees due from your payment account, we reserve the right to revoke or restrict your access to your stored content. If you cancel your paid storage plan, we will revert your storage space to the free allowance.During this period, if you have used more storage space than the free allowance, you may be unable to create, upload, or edit any files, or use certain features, until you have reduced your storage space. Thirty (30) days after you cancel your paid storage service, WebCal reserves the right to delete any expired or over-quota files, content, and other materials saved by the user.

2.7 The user agrees to use the relevant services in accordance with WebCal’s published rules regarding service terms (including storage), file limits, size restrictions, and other related regulations. Upon expiration of the relevant usage or storage periods, or if the files or content no longer comply with the relevant rules, WebCal reserves the right to delete any files or content stored by the user that are overdue, exceed capacity limits, or otherwise violate the relevant rules.WebCal shall not be liable for any losses resulting from the deletion of files due to the user’s failure to proactively transfer such files prior to deletion; the user shall bear full responsibility for such losses. Furthermore, the user agrees that WebCal may unilaterally amend the aforementioned rules and other rules governing this service at its own discretion without further notice to the user.

2.8 Users can enjoy the wide range of services provided by WebCal by purchasing value-added services. WebCal may modify or change the pricing standards and payment methods for value-added services in accordance with its overall planning for such services. WebCal will post details of such modifications and changes on the corresponding service pages.If you wish to access or use relevant value-added services, please carefully read and fully understand the current information regarding pricing, payment methods, and other details pertaining to those services.Users may also visit the designated page to cancel relevant value-added services on their own. Once cancellation is successful, you will only be able to use the free services provided by WebCal. Therefore, WebCal reminds users that after canceling these value-added services, they must handle content exceeding the storage capacity limit in accordance with the relevant rules. Users shall bear sole responsibility for any losses resulting from failure to do so.

2.9 You understand and agree that WebCal may update or modify this Service and/or the content of this Service as needed, including but not limited to:

(1) WebCal reserves the right to unilaterally modify or change the paid services provided, fee schedules, payment methods, service fees, and terms of service as needed.When providing services, WebCal may, now or in the future, begin charging users for certain services. If a user refuses to pay such fees, they will not be able to continue using the relevant services after the fees take effect. WebCal will make every effort to notify users of such modifications or changes through reasonable means.

(2) You understand and agree that WebCal may adjust the capacity of users’ service spaces (including both free and paid capacity) based on its own business development needs. To fully protect users’ legitimate rights and interests, notice of such capacity adjustments will be posted publicly at least seven days in advance.In the event of exceeding the storage capacity limit for this service, users must continue using the service within a reasonable timeframe specified by WebCal by either paying for additional capacity or transferring the stored content on their own. If a user fails to address the excess storage capacity in a timely manner, WebCal reserves the right to freeze or delete all content under that account, and the user shall bear any losses resulting therefrom.

III. Service Accounts

3.1 Users are obligated to safeguard their account and password and to use them correctly and securely. If a user fails to fulfill the aforementioned obligations, resulting in the loss of their account or password, account theft, or other circumstances that cause harm to the civil rights of the user or others, the user shall bear the resulting legal liability.If a user discovers that their account is being used unlawfully by others or that there is a security vulnerability, they must immediately notify WebCal.

3.2 Account ownership belongs to WebCal. After you complete the application, registration, and login procedures, you may use the corresponding account, and only you may use that account.Furthermore, you may not gift, lend, rent, transfer, or sell your user account, nor may you otherwise authorize anyone other than yourself to use your service account. No one other than yourself may use your service account through gifting, inheritance, leasing, assignment, or any other means.

IV. Obtaining the Software

4.1 You may access this service directly from WebCal’s official website, official app distribution platforms, and WebCal-authorized third-party websites and app distribution platforms—that is, through official or WebCal-authorized channels.

4.2 If you obtain this service or an installer with the same name as this service from a third party not authorized by WebCal, WebCal cannot guarantee that the software will function properly and shall not be liable for any losses you may incur as a result.

V. Software Installation and Uninstallation

5.1 WebCal may develop different software versions for various terminals, operating systems, and other environments. You should select and download the appropriate version for installation based on your specific circumstances.

5.2 After downloading the installer, you must follow the steps prompted by the program to install it correctly.

5.3 To provide a higher-quality and more secure service, WebCal may recommend that you install additional software during the installation of this service; you may choose whether or not to install it.

5.4 Due to business strategy arrangements or adjustments, the specific services available to users in different regions may vary; the actual services provided by WebCal shall prevail.

5.5 If you no longer need to use this service or need to install a new version of the software, you may uninstall it yourself. If you would like to help WebCal improve its products and services, please let us know the reason for the uninstallation.

VI. Software Updates

6.1 To enhance the user experience and improve service offerings, WebCal may continue to develop new services and provide you with software updates from time to time.

6.2 For the purpose of improving the user experience, enhancing service security, ensuring functional consistency, or for other similar reasons, WebCal reserves the right to update this service or modify certain features, functionality, or service content without providing you with specific notice.

6.3 After a new version of this service is released, older versions of the software may no longer function. WebCal does not guarantee the continued availability of older versions of the service, nor does it guarantee continued customer support or maintenance for older versions. Please check for and download the latest version at any time.

VII. Protection of Users’ Personal Information

7.1 Protecting users’ personal information is a fundamental principle of WebCal. WebCal will collect, use, store, and share your personal information in accordance with this Agreement and the WebCal Terms of Service. Where this Agreement does not explicitly stipulate matters related to the protection of personal information, the provisions of the WebCal Terms of Service shall prevail.

7.2 You may be required to provide certain necessary information when registering for an account or using this service.If national laws and regulations (the term “laws and regulations” in this Agreement refers to the laws, administrative regulations, judicial interpretations, local regulations, local rules, departmental rules, and other normative documents currently in effect in the user’s region or country, as well as any amendments and supplements to such laws and regulations from time to time, and relevant policy provisions; the same applies hereinafter), you are required to provide accurate identity information (including, but not limited to, your mobile phone number). If the information you provide is incomplete or inaccurate, you may be unable to use this Service or may face restrictions during use.

7.3 You acknowledge and agree that certain features of this Service may share your information with third parties.When sharing your personal information with our third parties, we require your authorization and consent. The personal information shared is either de-identified or cannot be used by the third party to identify the natural person to whom it pertains, unless we share necessary personal information with affiliated parties, in which case such sharing is subject to the purposes stated in this Agreement.If an affiliated party or third party intends to use the information for purposes beyond the scope of the original authorization and consent, they must obtain your consent again. Generally, you may view and modify the information you have submitted in accordance with the relevant product rules; however, for security and identity verification purposes (such as phone number recovery), you may not be able to modify the initial registration information and other verification information provided at the time of registration.

7.4 WebCal will employ various security technologies and procedures to establish a comprehensive management system to protect your personal information from unauthorized access, use, or disclosure.

7.5 WebCal will not transfer or disclose your personal information to any third party, unless:

(1) Requirements under relevant laws and regulations or by judicial or administrative authorities; or

(2) Transferred in connection with a merger, spin-off, acquisition, or asset transfer; or

(3) Necessary to provide the services you have requested;

(4) Circumstances under which information may be transferred or disclosed to any third party in accordance with the WebCal Privacy Policy or other relevant agreements and rules.

7.6 WebCal places great importance on the protection of minors’ personal information. If you do not have full legal capacity, you must obtain your guardian’s consent before using this service.

VIII. User Code of Conduct

8.1 Prohibited User Conduct

When using this Service and/or in the course of using this Service, you must comply with applicable laws and regulations, this Agreement, and any rules and specifications published by WebCal regarding this Service. You must not engage in any of the following acts, including but not limited to those listed below, nor may you facilitate any of the following acts:

8.1.1 Activities Prohibited by Law

When using this service, you must comply with applicable laws and regulations. You may not create, reproduce, publish, or disseminate information containing the following content, nor engage in related activities; nor may you facilitate the creation, reproduction, publication, or dissemination of such information or related activities:

(1) Those that run counter to the fundamental principles established by the Constitution.

(2) Endangering national security, disclosing state secrets, subverting state power, or undermining national unity.

(3) Content that undermines the honor and interests of the nation.

(4) Inciting ethnic hatred or discrimination, or undermining ethnic unity.

(5) Those that undermine national religious policies or promote cults and feudal superstitions.

(6) Spreading rumors, disrupting social order, and undermining social stability.

(7) Distributing obscene, pornographic, gambling-related, violent, murderous, or terrorist content, or content that incites criminal activity.

(8) Insulting or defaming others, or infringing upon the lawful rights and interests of others.

(9) Violations of the “Seven Bottom Lines”—the bottom line of laws and regulations, the bottom line of the socialist system, the bottom line of national interests, the bottom line of citizens’ lawful rights and interests, the bottom line of public social order, the bottom line of moral standards, and the bottom line of information authenticity.

(10) Any other conduct prohibited by laws, regulations, the WebCal Agreement, or other rules.

8.1.2 Using the Software

Unless permitted by law or with WebCal’s written permission, you may not engage in the following activities:

(1) Remove copyright information from this service and its copies.

(2) Reverse engineer, disassemble, decompile, or otherwise attempt to discover the source code of this service.

(3) Use, rent, lend, copy, modify, link to, reprint, compile, publish, or create mirror sites for content for which WebCal holds intellectual property rights.

(4) Copying, modifying, adding to, deleting, or running in conjunction with—or creating any derivative works based on—this Service, data released to any terminal memory during the operation of this Service, interaction data between the client and server during software operation, or system data necessary for the operation of this Service,including but not limited to accessing this service and related systems using plug-ins, third-party add-ons, or third-party tools/services not authorized by WebCal.

(5) Modifying or falsifying instructions or data during software execution to add to, remove, or alter the software’s functions or operational results; or operating or disseminating to the public software or methods used for the aforementioned purposes, regardless of whether such actions are for commercial purposes.

(6) Logging in to or using this service and/or the Service through third-party software, plugins, add-ons, or systems that were not developed or authorized by WebCal, or creating, publishing, or distributing such tools.

(7) Interfering with this service and/or its components, modules, data, etc., either on your own, by authorizing others to do so, or by using third-party software.

(8) Any other actions that may affect or interfere with this service and/or its normal operation.

8.1.3 Actions That Compromise Platform Security

You may not engage in, or facilitate, any of the following activities, including but not limited to:

(1) Disseminating illegal, fraudulent, or false information, such as false lottery win notifications, phishing scams, or illegal or fraudulent financial investment information.

(2) Distributing files, programs, or related tutorials that contain viruses, Trojan horses, or similar malicious content.

(3) Stealing others’ personal information, virtual items, or other property.

(4) Any other content, information, or actions that compromise the security of WebCal, this service, or other entities.

8.2 Legal Liability

8.2.1 You acknowledge and agree that if you violate laws and regulations, this Agreement, and/or other WebCal agreements or rules, WebCal reserves the right to unilaterally take one or more of the following measures at any time, depending on the circumstances (the specific measures and their duration shall be determined by WebCal based on the severity of your violation or breach):

(1) A warning for you.

(2) Restrict your use of this service and/or any or all of its features.

(3) Delete, redact, or remove links to relevant content.

(4) Suspend or terminate your use of the corresponding service account (hereinafter referred to as “account suspension”).

(5) Take other reasonable and lawful measures.

(6) We reserve the right to hold you legally liable in accordance with the law.

8.2.2 If you violate laws and regulations, this Agreement, and/or other WebCal agreements or rules, and WebCal takes any action or measures against you or your use of the Service and/or the Service itself, resulting in your temporary or permanent inability to use the Service, you shall bear the corresponding consequences on your own(including, but not limited to, communication interruptions, the deletion or unavailability of user profiles and related data, value-added services, products, or services, etc.). You shall bear sole responsibility for any losses incurred as a result.

8.2.3 You are solely responsible for creating reasonable and secure backups, outside of this Service, of any data generated through or stored in this Service (including, but not limited to, friend information, images, profile information, photos, etc.).If WebCal takes measures against you under this Agreement, such as permanently suspending your account, WebCal reserves the right to delete all data related to this Service or all data and information you have stored within this Service; you shall bear all consequences resulting therefrom.

8.2.4 You shall be solely liable for any damages you cause to any third party; you shall also compensate WebCal for any losses it incurs as a result.

8.3 You fully understand and agree that you are solely responsible for your use of the Service and/or all actions taken in connection with the Service, including any content you post and any consequences arising therefrom.You are solely responsible for exercising your own judgment regarding your use of the Service and/or the content you encounter while using the Service, including any risks arising from reliance on the accuracy, completeness, or usefulness of such content, and you assume the corresponding risks arising therefrom. To the extent permitted by law, WebCal shall not be liable for any loss or damage you may incur as a result of the aforementioned risks.

8.4 If the content you post or distribute violates laws or regulations or infringes upon the rights of others, you agree that WebCal has the right to exercise its independent judgment and take measures such as deletion, blocking, or disabling links.If you are reported by others or if you report others, WebCal reserves the right to provide necessary information—including the identities and contact information of the parties involved in the dispute, as well as the relevant details of the complaint—to the relevant parties or authorities in order to promptly resolve the dispute and protect the legitimate rights and interests of all parties.

IX. Products or Services Provided by Third Parties

9.1 When using products or services provided by third parties on the WebCal platform, in addition to complying with the terms of this Agreement, you must also comply with the third party’s user agreement. WebCal and the third party shall each bear responsibility for any disputes that may arise within the scope of applicable law and the terms of this Agreement.

9.2 When you use this service or request that WebCal provide specific services, this service may call upon third-party systems or rely on third parties to support your use or access. The results of such use or access are provided by the relevant third party (including, but not limited to, services and content provided by third parties to which you are redirected through this service, as well as services and content accessed by third parties through the WebCal Open Platform).

X. Advertising

10.1 You agree that WebCal may, on its own or through a third party, send or display advertisements or other information (including commercial and non-commercial information) to you via various means, such as text messages, email, or electronic messages. The specific format, frequency, and content of such advertisements or other information shall be subject to WebCal’s actual provision.

10.2 WebCal will conduct its advertising business in accordance with applicable laws and regulations. You agree that you should exercise due diligence in assessing the authenticity and reliability of any advertisements appearing in this service, and, except as expressly provided by law, you are responsible for any actions taken as a result of such advertisements.

XI. Intellectual Property Statement

11.1 WebCal is the owner of the intellectual property rights to this Service. The intellectual property rights to this Service, including copyrights, trademark rights, patent rights, and trade secrets, as well as all information and content related to this Service (including but not limited to text, images, audio, video, charts,interface designs, layout frameworks, relevant data, or electronic documents) are protected by laws, regulations, and relevant international treaties. WebCal lawfully holds the aforementioned intellectual property rights, except for rights that rightful owners are entitled to under applicable laws.

11.2 Without the written consent of WebCal or the relevant rights holders, you may not, for any commercial or non-commercial purpose, implement, use, or transfer the aforementioned intellectual property rights yourself or license any third party to do so.

11.3 Users may not reverse engineer, decompile, or disassemble the Service without WebCal’s written consent. WebCal reserves the right to pursue legal action against any such unauthorized activities.

XII. Terminal Security Responsibilities

12.1 You understand and agree that, like most Internet software and services, this Service may be affected by various factors (including but not limited to user-related causes, network service quality, and social environment); it may also be subject to various security issues (including but not limited to the unauthorized use of user information by others to carry out real-world harassment;other software downloaded and installed by users or other websites visited by users may contain viruses, Trojan horses, or other malicious programs that threaten the security of information and data on your device, which in turn may affect this Service and its normal use). Therefore, you should enhance your awareness of information security and the protection of personal information, and take care to protect your passwords to avoid suffering losses.

12.2 You may not create, publish, use, or distribute malicious programs designed to steal WebCal accounts and/or the personal information or property of others.

12.3 Maintaining software security and proper use is a shared responsibility between WebCal and you. WebCal will take necessary technical measures in a reasonable and prudent manner in accordance with industry standards to protect the security of your device information and data; however, you acknowledge and agree that WebCal makes no warranties in this regard.

XIII. [Third-Party Software or Technologies]

13.1 This Service may use third-party software or technologies (including, but not limited to, open-source code and public-domain code used by this Service; the same applies hereinafter), and such use has been legally authorized.

13.2 If this Service uses third-party software or technology, WebCal will, in accordance with relevant laws, regulations, or agreements, display the relevant agreements or other documents—which may be provided as an appendix to this Agreement or included in a specific folder within the Service’s installation package—in forms such as a “Software License Agreement,” “License Agreement,” “Open Source License” or other similar terms.

13.3 The relevant agreements or other documents referred to above, in whatever form they may appear, are an integral part of this Agreement and have the same legal effect as this Agreement; you must comply with these requirements.If you fail to comply with these requirements, the third party or government agency may file a lawsuit against you, impose fines, or take other punitive measures, and may request WebCal’s assistance; you shall bear full legal responsibility for such actions.

XIV. [Force Majeure and Other Exemptions]

14.1 You understand and agree that, while using this Service, you may encounter risk factors such as force majeure that could affect the Service.Force majeure refers to objective events that are unforeseeable, insurmountable, and unavoidable, and that have a significant impact on one or both parties, including but not limited to natural disasters such as floods, earthquakes, epidemics, and storms, as well as social events such as war, civil unrest, and government actions.Should any of the above circumstances arise, WebCal will endeavor to coordinate with relevant entities as soon as possible to address the situation promptly; however, WebCal shall not be liable for any losses incurred by you as a result, to the extent permitted by law.

14.2 To the extent permitted by law, WebCal shall not be liable for any interruption or disruption of service resulting from the following circumstances:

(1) Damage caused by computer viruses, Trojan horses, or other malicious programs, or by hacker attacks.

(2) Malfunctions in the user’s or WebCal’s computer software, system, hardware, or communication lines.

(3) Improper user operation or use of this service through means not authorized by WebCal.

(4) Outdated software versions, aging hardware, and/or compatibility issues.

(5) Other circumstances beyond WebCal’s control or that WebCal could not reasonably have foreseen.

14.3 You understand and agree that while using this service, you may encounter risks arising from online information or the conduct of other users. WebCal assumes no responsibility for the authenticity, applicability, or legality of any information, nor is it liable for any damages caused to you by acts of infringement. These risks include, but are not limited to:

(1) Information from anonymous or impersonated sources that contains threatening, defamatory, offensive, or illegal content.

(2) Any psychological or physical harm, as well as financial losses, resulting from or potentially resulting from being misled or deceived by others.

(3) Other risks arising from network conditions or user behavior.

14.4 WebCal reserves the right to handle content that violates laws or regulations in accordance with the terms of this Agreement; this right does not constitute an obligation or commitment on the part of WebCal, and WebCal cannot guarantee that it will promptly detect violations or take appropriate action.

14.5 User Agreement: To safeguard its autonomy in business development and adjustments, WebCal reserves the right to modify, suspend, interrupt, cancel, or terminate the services provided to users at any time without prior notice. WebCal shall not be liable for any damages or other liabilities arising from such actions.

15. [Miscellaneous]

15.1 Your use of this Service and/or the Service constitutes your acknowledgment that you have read this Agreement and agree to be bound by its terms. WebCal reserves the right to modify the terms of this Agreement as necessary.You may view the latest version of the terms of this Agreement on the relevant service page. If you continue to use the software or services provided by WebCal after the terms of this Agreement have been amended, you will be deemed to have accepted the amended Agreement.

15.2 This Agreement is entered into in Xihu District, Hangzhou City, Zhejiang Province, People’s Republic of China.

15.3 The formation, effectiveness, performance, interpretation, and dispute resolution of this Agreement shall be governed by the laws of the Mainland of the People’s Republic of China (excluding conflict of laws principles).

15.4 In the event of any dispute or controversy between you and WebCal, the parties shall first attempt to resolve the matter through amicable negotiation; if such negotiation fails, you agree to submit the dispute or controversy to the jurisdiction of the People’s Court with jurisdiction in the place where this Agreement was executed.

15.5 The headings of all provisions of this Agreement are for convenience of reference only and have no legal significance; they shall not be used as a basis for interpreting the meaning of this Agreement.

15.6 If any provision of this Agreement is held to be invalid or unenforceable in part for any reason, the remaining provisions shall remain in full force and effect and shall be binding on both parties.

15.7 If this Agreement is available in multiple languages, including Chinese and English, and there are inconsistencies between the corresponding versions, the Chinese version shall prevail.
